Terms of Service

These terms govern access to Callniva’s website, business workspaces, missed-call recovery, text messaging, AI-assisted conversations, leads, bookings, team tools, analytics, and connected services.

1. Agreement and eligibility

By creating an account, joining a workspace, purchasing a plan, or using Callniva, you agree to these Terms of Service and the Privacy Policy. You must be legally able to enter into this agreement and, when acting for a company or other organization, have authority to bind that organization.

2. The Callniva service

Callniva is software that connects to a customer-owned SignalWire account and phone number. It may provide call forwarding configuration, missed-call detection, automated text follow-up, AI-assisted customer conversations, required-detail collection, lead creation, automatic booking, manual booking review, human requests, team permissions, notifications, analytics, and integrations. A Callniva subscription does not include or transfer ownership of a SignalWire phone number.

Feature availability can depend on country, carrier, phone-number type and capabilities, SignalWire account standing, Callniva plan and account status, and applicable law. Callniva may improve, replace, add, or remove features as the service evolves.

3. Accounts, workspaces, and security

You must provide accurate information, maintain a secure email account and password, protect connected-provider credentials, and promptly report suspected unauthorized access. Workspace owners are responsible for invitations, roles, permissions, team actions, configuration, and the information entered into Callniva.

You may not share access in a way that bypasses plan limits, misrepresent identity or authority, or access another business’s workspace without permission.

4. Calling, messaging, consent, and carrier rules

You are responsible for your SignalWire account and number, for having the right to contact customers, and for complying with applicable calling, recording, privacy, consumer-protection, and text-messaging laws. You must provide required notices, obtain consent where required, honor opt-out requests, maintain accurate sender information, complete required registration such as applicable A2P 10DLC or toll-free verification, and comply with carrier and SignalWire policies.

Phone numbers, message deliverability, caller identification, throughput, and geographic availability are controlled partly by SignalWire, third-party carriers, and regulators. A phone number may be suspended, reclaimed, restricted, or replaced where required by a carrier, provider, law, or account status.

5. AI output, business knowledge, and human review

AI replies depend on the business information, knowledge, rules, customer messages, and connected-service context available to Callniva. AI can make mistakes, misunderstand intent, or provide incomplete information. You are responsible for reviewing important business decisions and for configuring human escalation where a person should decide.

Callniva is not a substitute for emergency services or professional legal, medical, financial, safety, or other regulated advice. You must not configure the service to make prohibited or high-risk decisions without appropriate human oversight.

6. Your content and instructions

You retain responsibility for the business information, knowledge-base content, rules, messages, files, branding, and instructions you provide. You grant Callniva the limited rights needed to host, process, transmit, display, and use that content to operate, secure, support, and improve the service.

You must have the rights needed to use the content and must not upload unlawful, infringing, deceptive, malicious, or unnecessarily sensitive information.

7. Free trials, plans, billing, and renewal

The Callniva free trial lasts 7 days, is limited to one trial per eligible owner account, and has the usage limits shown on the pricing page. Trial eligibility is determined by Callniva’s account records. Starting a new workspace or using a different email address does not guarantee another trial.

Paid Callniva plans are billed according to the price, 30-day billing period, limits, and terms shown at checkout or in the account. Unless stated otherwise, subscriptions may renew automatically until canceled.

Callniva and SignalWire are separate services and separate billing relationships. You connect and pay for your own SignalWire account and number. SignalWire bills phone numbers, calls, messages, carrier or registration fees, and applicable taxes separately from the Callniva software plan. SignalWire prices and requirements may change, and you are responsible for reviewing its current terms and pricing.

Failure to pay either required service, expiration, chargeback, cancellation, or loss of a required provider connection may limit or end affected functionality. Workspace owners are responsible for keeping billing information current and reviewing usage.

8. Third-party services

Callniva relies on SignalWire for connected telephony and messaging and may rely on other providers for email, AI, calendar, hosting, monitoring, analytics, and payment processing. Your use of SignalWire and each connected provider is governed by that provider’s terms. Callniva is not responsible for a third party’s independent service, outage, price, policy, data practice, compliance decision, or account action.

9. Acceptable use

You may not use Callniva to:

  • send spam, unlawful marketing, harassment, threats, or deceptive communications;
  • commit fraud, impersonate another person or business, or misrepresent caller identity;
  • collect or expose information without a lawful purpose or required notice;
  • violate carrier, provider, sanctions, export, privacy, or consumer-protection rules;
  • upload malware, interfere with security, probe another tenant, reverse engineer protected systems, or attempt unauthorized access;
  • use the service for prohibited content or high-risk activity that requires controls Callniva does not provide;
  • avoid plan, usage, account, or technical restrictions.

10. Intellectual property

Callniva and its licensors retain rights in the service, software, design, documentation, trademarks, and related technology. These terms give you a limited, non-exclusive, non-transferable right to use the service while your account is authorized and in good standing. No ownership rights are transferred to you.

11. Availability, changes, and disclaimers

We work to provide a reliable service, but uninterrupted or error-free operation is not guaranteed. Carriers, phone networks, cloud platforms, AI providers, calendar providers, payment systems, devices, and the public internet can delay, block, alter, or fail.

To the extent permitted by law, the service is provided on an “as available” basis without warranties not expressly stated in these terms. You are responsible for maintaining reasonable backup communication and business-continuity processes.

12. Limitation of liability

To the extent permitted by law, Callniva will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses, or for lost profits, revenue, business, goodwill, data, or opportunities arising from use of or inability to use the service. Mandatory rights that cannot legally be excluded remain unaffected.

13. Indemnity

To the extent permitted by law, you agree to defend and indemnify Callniva from claims, losses, and costs arising from your content, your business communications, your violation of law or provider rules, misuse of the service, or breach of these terms.

14. Suspension, cancellation, and termination

We may restrict or suspend access where reasonably necessary to address security, abuse, legal, carrier, provider, payment, or operational risk. You may cancel according to the controls and billing terms shown in your account. Ending access does not erase payment obligations or provisions that by their nature should continue.

15. Changes to these terms

We may update these terms as Callniva, its providers, or legal requirements change. The updated date will identify the latest version. Material changes may be communicated through the service or by email where appropriate. Continued use after an effective update means you accept the revised terms, except where applicable law requires another process.

16. General terms

If part of these terms is unenforceable, the remaining provisions continue to apply. Failure to enforce a provision is not a waiver. You may not transfer this agreement without permission, while Callniva may transfer it as part of a reorganization, financing, acquisition, or sale of the service, subject to applicable law.
